• 1. Preamble and Scope of application
• 1.1 The following terms apply to the use of the Supplier Portal of Regal Hotels International (“Regal”) (“Supplier Portal”) and Regal shall include all of its associated companies, subsidiaries and affiliates from time to time.
• 1.2 This Supplier Portal serves as a communication platform for business relationships between Regal and the Suppliers (as defined below) and any information therein may be used by Regal when considering any business transactions (collectively the “Purpose”). Respective Supplier and Regal will enter into separate agreement(s) for any business transactions/dealings whether arise from the use of the Supplier Portal.
• 1.3 By making any application to register itself in the Supplier Portal (notwithstanding whether subsequently Regal approves or rejects such application), the Supplier expressly agrees to accept and comply with these Terms of Use and its amendments from time to time (“Terms”) and any terms and conditions imposed by ORACLE (as defined hereinbelow) relating to the use of this Supplier Portal (“ORACLE Terms”).
• 1.4 Suppliers shall refrain from registering, accessing, browsing or otherwise using the Supplier Portal if they do not accept the Terms or the ORACLE Terms.
• 1. 前言及適用範圍
• 1.1 以下條款適用於富豪國際酒店集團 ("富豪") 供應商平台網站 ("供應商平台") 的使用。富豪在本使用條款中應包括富豪的所有不時存在之相聯公司、子公司及關聯公司。
• 1.2 本供應商平台是為富豪與供應商 (定義如下) 之間的商業關係而設的通訊平台，而富豪有權使用供應商平台上的任何資訊以考慮是否與供應商達成任何商業交易（統稱為"目的"）。個別供應商因使用本供應商平台而致的與富豪的任何商業交易會另行與富豪簽訂合同。
• 1.3 通過在供應商平台提交註冊申請 (不論富豪及後批准或拒絕該申請), 即代表供應商明確同意接受並遵守本使用條款及其不時之修訂版本 ("本使用條款") 以及甲骨文 (定義如下) 關於使用供應商平台所訂的任何條款及細則 ("甲骨文條款")。
• 1.4 如果供應商不接受本使用條款及甲骨文條款, 供應商必須避免註冊、訪問、瀏覽或以其他方式使用供應商平台。
• 2. Definitions
• 2.1 Confidential Information means all data and information contained in or transmitted through the Supplier Portal (in any means or forms) including without limitation to production data, invoices, price information and any data or information with confidential and sensitive nature (whether or not provided by the Supplier).
• 2.2 Supplier(s) means any company(ies) or individual(s) that has or may have business relationship(s) with Regal as a supplier.
• 2. 定義

• 3. Supplier Portal
• 3.1 This Supplier Portal is operated by a third party service provider, namely Oracle Systems Hong Kong Limited (“ORACLE”). Electronic messages can be received and sent through the Supplier Portal by the Supplier. Regal assumes no liability for the function (including any functions relating to data protection) or the availability of the Supplier Portal. Supplier shall read and accept the ORACLE Terms before registering and using the Supplier Portal. The Supplier uses the Supplier Portal at its own risks.
• 3.2 The Supplier is free to use its own service provider(s) for the transmission of electronic messages from the Supplier Portal’s interface to its own systems on the basis that the Supplier complies with the Terms, the ORACLE Terms and all applicable laws and regulations and does not violate any third party rights in so doing. It is the Suppliers’ own responsibility to commission, instruct, supervise and compensate its own service provider(s) and Regal shall bear no liability of any loss or damage howsoever arising from any use of the Supplier Portal by the Supplier.
• 3. 供應商平台
• 3.1 本供應商平台由第三方服務提供者甲骨文香港有限公司 ("甲骨文") ()負責運作。供應商可以通過供應商平台接收和發送電子訊息。富豪對供應商平台的功能 (包括任何關於資料保護的功能) 或可用性概不承擔任何責任。供應商註冊和使用供應商平台前應閱讀及同意甲骨文條款。供應商乃於風險自負的情況下使用供應商平台。
• 3.2 在供應商遵守本使用條款、甲骨文條款與所有適用之法律和規例以及不損害任何第三方權益的前提下，供應商可以使用其服務提供者從供應商平台的介面傳輸供應商平台上的電子資訊至其系統。供應商須負責委託、指導、監督和賠償自己的服務供應商，而富豪概不就使用供應商平台所導致的任何損失或損害負上任何責任。
• 4. Registration, Password, Accessibility
• 4.1 Access to use the Supplier Portal is restricted to Suppliers who have complied with registration procedures in accordance with the Terms and subject to the final decision of Regal.
• 4.2 When the Supplier applies through the Supplier Portal, it shall complete the registration form completely, truthfully and correctly. Once registration is completed and assessed by Regal, the Supplier will be notified by email of the approval or rejection of its registration to use the Supplier Portal. If approved, the Supplier will be provided with a username and initial password.
• 4.3 The Supplier shall ensure that all information provided in its Supplier Portal from time to time is complete, accurate and truthful. The Supplier is obliged to verify and keep the information provided in its Supplier Portal up to date at all times (including but not limited to its contact information, address(es) and bank account details ) and shall without delay update the same in the event of any change in such information.
• 4.4 Suppliers must notify Regal and ORACLE immediately upon the loss of login username or password, or when it is suspected that such username/password and/or any data uploaded to the Supplier Portal has been misused or leaked to any other third party(ies).
• 4.5 If Regal and/or ORACLE become(s) aware of or suspect a loss of login data or any data in the Supplier Portal or possible misuse of the Supplier Portal itself, Regal and/or ORACLE reserve(s) the right to take any necessary countermeasures or actions, and particularly in the case of misuse, to exclude the respective user(s) from using the Supplier Portal again, without further notice to any Supplier.
• 4.6 To ensure that any notifications from Regal and/or ORACLE are received promptly, Suppliers shall ensure that they are able to access and respond to e-mails at their specified e-mail address. Regal and/or ORACLE shall not bear any liability for any loss or damage incurred by any Supplier for any delay or failure in receiving notification.
• 4.7 The Supplier shall handle the login username and password with all due care and keep them secret and must not transfer the same to any third party. Regal shall assume that all activities under each Supplier’s respective account were done with such Supplier’s proper authority. The Supplier agrees to accept responsibility for all activities that occur under its account or password and be liable for any losses and consequences arising from such activities (whether or not such activities are in fact performed by the respective Supplier) and Regal shall not be liable for any losses/damage resulting from such activities.
• 4. 註冊、密碼、協助工具
• 4.1 使用供應商平台僅限已按照本使用條款完成註冊程序之供應商使用，而富豪對供應商平台用戶的使用權限有最終決定權。
• 4.2 當供應商申請註冊使用供應商平台時, 供應商必須完整、如實、正確地填寫註冊表單。註冊完成並經富豪批核後, 供應商將通過電子郵件獲通知其註冊使用供應商平台的申請被批准或拒絕。如果註冊申請獲得批准, 供應商將獲得使用者名稱和初始密碼。
• 4.3 供應商必須確保供應商平台上所有其不時提供的資訊為完整無誤、正確和真實，並需核實該些資訊（包括但不限於聯絡資訊、地址及銀行帳戶資料等）為最新資訊。若該等資料有任何後續更改，供應商需及時作出更新。
• 4.4 若供應商遺失使用者名稱或密碼，或者懷疑使用者名稱和密碼及/或任何上載到使用者平台的資料被誤用或外洩予任何其他第三方，供應商必須立即通知富豪及甲骨文。
• 4.5如果富豪及/或甲骨文意識到或懷疑登錄資料或供應商平台上的任何資料有丟失或使用者平台可能被誤用, 富豪及/或甲骨文保留權利採取必要的對策或行動,特別是在使用者平台被誤用的情況下,禁止有關用戶繼續使用供應商平台而無需事先通知。
• 4.6為確保供應商能夠及時接收來自富豪及/或甲骨文的任何通知，供應商必須確保其指定的電郵地址可供供應商接收及回覆電郵。富豪及/或甲骨文對供應商因未能接收通知或延遲接收通知而招致的任何損失或損害概不承擔任何責任。
• 4.7 供應商必須妥善處理登錄使用者名稱和密碼, 並將之保密且不得轉移給任何第三方。富豪有權假設供應商的帳戶下的所有活動皆已得到該供應商的正當授權。供應商同意接受在其帳戶或密碼下發生的所有活動的責任, 並對該等活動引起的任何損失和後果負責 (不論該等活動事實上是否由有關供應商進行)。富豪不會對該等活動所招致的任何損失或損害負責。
• 5. Rights of Regal and ORACLE
• 5.1 Regal and ORACLE are authorized to use all data in the Supplier Portal provided by the Suppliers solely for the Purpose and will not disclose such data to any third party without the prior written consent of the respective Supplier(s).
• 5.2 Upon knowledge of illegal and/or prohibited contents (whether prohibited by Regal, ORACLE and/or under the relevant laws) (the “Prohibited Contents”) Regal and/or ORACLE reserve(s) the right to immediately block and remove the said content. Regal and/or ORACLE reserve(s) right to further block and remove any relevant data if the Supplier violates these Terms or ORACLE Terms or any other contractual obligations during use of the Supplier Portal. Regal and/or ORACLE shall not be liable for any loss or damage incurred by the Supplier in connection to such removal and/or blockage of data.
• 5.3 Regal and ORACLE reserve the rights to remove or delete any data or Supplier account itself or block access of any Supplier when it considers fit and appropriate (including any account Regal or ORACLE considers inactive) without providing reasons or notice to the Supplier.
• 5.4 Any Suppliers with accounts deleted or removed by Regal and/or ORACLE may re-apply registration with Regal in accordance to the Terms herein, subject to the approval by Regal.
• 5. 富豪和甲骨文的權利
• 5.1 富豪和甲骨文有權使用供應商平台上供應商提供的所有資料，僅用於執行與目的相關的服務，但未經供應商書面同意不會向任何第三方披露該些資料。
• 5.2 富豪及/或甲骨文保留權利在知悉供應商平台中存有非法及/或受禁止內容 (不論被富豪、甲骨文及/或相關法律所禁止) ("受禁止內容") 後立即屏蔽和刪除該些內容。如果供應商在使用供應商平台時違反本使用條款或甲骨文條款或任何其他合同義務，富豪及/或甲骨文保留權利進一步將該供應商的有關內容屏蔽和刪除。富豪及/或甲骨文對供應商因其發佈在供應商平台上的內容遭屏蔽及/或刪除所造成的任何損失或損害概不承擔任何責任。
• 5.3 富豪及甲骨文保留權利在其認為合適及適當的情況下將任何供應商帳戶 (包括富豪或甲骨文認為不活躍的任何帳戶) 或資料刪除或阻止有關供應商繼續使用供應商平台而無需向供應商通知或告知原因。
• 5.4 供應商的帳戶倘被富豪及/或甲骨文刪除，有關供應商可按照本使用條款重新向富豪申請註冊使用供應商平台，惟需經富豪批核。
• 6. Use of Supplier Portal
• 6.1 To facilitate the use of the Supplier Portal by the Suppliers, Regal and ORACLE can use any means (whether or not electronic means) to store and process all information entered by the Supplier.
• 6.2 Any costs, expenses or liabilities in connection to the use of the Supplier Portal (including the use of any modules or interfaces as necessary or desired by the Supplier) are to be borne by the Supplier solely.
• 6.3 Electronic message are deemed as received when they are accessible on the receiving computer of Regal. It is the Supplier’s duty to ensure the transmission and receipt of electronic message delivered properly. In the event of receiving an unreadable or incomplete electronic message, Regal may notify the identifiable sender. If no notification is provided or no subsequent amendments/updates were submitted by the respective Supplier, the content of the unreadable or incomplete electronic message becomes binding.
• 6. 使用供應商平台
• 6.1 為了促進供應商平台的使用,富豪及甲骨文可使用任何方式 (不論是否以電子方式) 儲存及處理 供應商輸入的所有資訊。
• 6.2供應商使用供應商平台的任何成本、開支或責任 (包括供應商認為所需使用的模組或介面) 均由供應商承擔。
• 6.3 電子信息在富豪的接收電腦上可查閱時即被視為已收到。供應商有責任保證電子信息能正常收發。倘若收到無法讀取或不完整的電子信息, 富豪可能會通知可識別的寄件者。如果相關供應商未有收到通知或提交任何變更/更新, 則該無法讀取或不完整的電子信息的內容將具有約束力。
• 7. Obligations of Supplier
• 7.1 The Supplier is obliged to comply with these Terms and ORACLE Terms and procure those parties authorized or engaged to use the Supplier Portal to also comply with these Terms and ORACLE Terms.
• 7.2 The Supplier shall be responsible to from time to time keep any and all information and data under its account in the Supplier Portal updated without delay. Regal shall treat the information and data existing in the Supplier Portal from time to time as the updated information/data and shall not be in any way liable to any losses or damages of the respective Supplier due to such Supplier’s failure to update their information or data.
• 7.3 The Supplier is solely responsible for providing and maintaining the equipment and technology necessary for use of the Supplier Portal. This applies particularly to all required devices, data-transmission lines, telecommunication services, and to the acquisition of browsers. The Supplier must conclude their contracts with any third parties in its own name and at its own costs as well as ensure observance of applicable law.
• 7.4 The Supplier is not authorized in any way to manipulate the functions of the Supplier Portal. The Supplier should not make any entries or transmit any data that contain or may contain virus or executable program codes and/or that are suitable for damaging, viewing, querying, forwarding, or deleting data or systems or providing unauthorized parties access to data systems or areas. The Supplier may not use any mechanisms, software, or other routines that can interrupt or overload the supplier portal. If such interruption and/or overloading have been found, Regal and/or ORACLE is entitled to immediately block and remove the transmission without providing any reasons or notification to the Suppliers. Regal and/or ORACLE shall not bear any liability for any loss or damage incurred by the Supplier for such blockage and/or removal.
• 7.5 Access data must be protected from third-party knowledge, access and use. The Supplier is liable to any losses or damage due to unauthorized use.
• 7.6 Any offers or announcements of the Supplier that violate law, regulation and/or legal rules are prohibited.
• 7.7 The Supplier shall not modify, publish, transfer, save or reproduce the Supplier Portal or portions thereof, nor to produce, distribute, or display derived content therein, nor to utilize the services and information relating to and contained in the Supplier Portal in any other way. The Supplier is obliged not to violate any commercial protective rights, copyrights or any intellectual properties and other rights of other parties including Regal and ORACLE.
• 7.8 Regal and ORACLE are under no obligation to archive any data and documents. The Supplier must take corresponding technical measures at its own expense to archive any information and documents that are required.
• 7.9 The Supplier is obliged to maintain confidentiality of all commercial secrets or other confidential information attained (whether related or belonged to Regal) during its business relationships with Regal.
• 7. 供應商的義務
• 7.1 供應商有義務遵守本使用條款及甲骨文條款, 並促使獲授權或受僱使用供應商平台的人士也遵守本使用條款及甲骨文條款。
• 7.2 供應商應負責不時更新其供應商平台帳戶下的所有資料及資訊，不得延擱。富豪將視供應商平台上的資料及資訊為最新，而且不會對該等供應商因沒有提供最新資料及資訊而招致的任何損失或損害負責。
• 7.3 供應商單獨負責提供和維護使用供應商平台所需的設備和技術。這尤其適用於所有需要的設備、資料傳輸線路、電訊服務以及瀏覽器的購置。供應商必須以其名義和自費與任何第三方簽訂相關合同, 並確保遵守適用的法律。
• 7.4 供應商無權以任何方式操縱供應商平台的功能。供應商不得輸入或傳輸任何包含或可能包含病毒或可執行程式碼的資料及/或適用於損壞、查看、查詢、轉發或刪除資料或系統或提供渠道讓未經授權的人士進入資料系統或區域。供應商不得使用任何可能使供應商平台中斷或超載的機制、軟體或其他常式。如果發現上述情況出現, 富豪及/或甲骨文有權在毋須通知或告知原因的情況下立即阻止和刪除有關傳輸。富豪及/或甲骨文對供應商因該阻止和刪除蒙受的任何損失或損害概不承擔任何責任。
• 7.5 訪問數據必須防止第三方知悉，訪問和使用。供應商須承擔因未經授權而使用所帶來的任何損失或損害。
• 7.6 供應商不得發佈任何違反法律、法規及/或法律規則的要約或公告。
• 7.7 供應商不得修改、發佈、轉讓、保存或複製供應商平台或其部分,也不得生產、分發或顯示任何衍生自供應商平台的內容, 也不得以任何其他方式使用與供應商平台有關的服務和當中的資訊。供應商有責任不違反任何商業保護權, 版權、知識產權或其他各方 (包括富豪和甲骨文) 的任何其他權利。
• 7.8 富豪和甲骨文沒有責任將任何數據和文件存檔。 供應商必須自費採取相應的技術措施將所需的任何信息和文件存檔。
• 7.9 供應商有責任保持在與富豪的業務關係中獲得的所有商業秘密或其他機密資訊（不論該些秘密或資訊是否與富豪有關或屬於富豪）的保密性。
• 8. Intellectual Property and Proprietary Rights
• 8.1 The Supplier Portal was developed by ORACLE and is protected by relevant copyright laws. The Supplier shall use the information provided only in compliance with these Terms and ORACLE Terms and the relevant laws and shall only use the same for the Purpose for Supplier’s own benefit. Any other use of the information requires the express prior written consent of Regal and (if applicable) ORACLE.
• 8.2 ORACLE and Regal allow the Supplier to view and download the contents of the Supplier Portal for the fulfillment of Supplier’s obligations and rights under the Terms and ORACLE Terms. Any reproduction, processing, dissemination or other use of the contents requires the express prior written permission of Regal and (if applicable) ORACLE.
• 8.3 All contents in the Supplier Portal including all trademarks, data and information in any means (including but not limited to any forms such as documents, texts, figures, photos and drawings) are copyrighted protected. Express prior written permission from Regal and/or ORACLE (whichever applicable) is required to use such data/information or the trademarks of Regal and/or (if applicable) ORACLE, including but not limited to company names, logos and brands, if any.
• 8.4 For the avoidance of doubt, this clause shall continue to apply to the Supplier notwithstanding the Supplier’s subsequent cessation to use the Supplier Portal or to have any business relationships with Regal.
• 8. 知識產權和所有權
• 8.1 供應商平台由甲骨文開發並受相關版權法保護。供應商只可根據本使用條款、甲骨文條款以及有關法律使用提供的資訊,而供應商只可在出於其本身的利益的情況下使用該等資訊於與目的相關的用途。任何其他用途都需要事先得到富豪和 (如適用) 甲骨文的明確書面同意。
• 8.2 甲骨文和富豪允許供應商查看和下載供應商平台的內容, 以滿足供應商在本使用條款及甲骨文條款下的責任和權利。供應商平台內容的任何複製、處理、傳播或其他用途都需要事先得到富豪和(如適用) 甲骨文的明確書面許可。
• 8.3 供應商平台中的所有內容 (包括所有商標、任何形式 (包括但不限於文檔、文本、數字、相片及畫像及其他任何形式) 的資料和資訊) 皆受版權保護。如需使用富豪及/或甲骨文（如適用）的該資料資訊或商標 (包括但不限於公司名稱、標識和品牌)，有關供應商需要事先得到富豪及/或甲骨文（如適用）的明確書面許可。
• 8.4 為免疑問，即使供應商其後終止使用供應商平台或終止與富豪的任何商業關係，本條款將繼續適用於供應商。
• 9. Confidential Information
• 9.1 The Supplier is obliged to treat Confidential Information with all due care and not to make it available or disclose to third parties, except:
• (a) when Regal has given its prior written consent to such disclosure (including disclosure to the Supplier’s employees, directors, agents, contractors and subcontractors) and when such information is disclosed, the Supplier shall ensure that the recipient complies with confidential obligations similar to that set out herein;
• (b) disclosure under any legal or regulatory obligations; or
• (c) any such information is already in the public domain.
• 9.2 This clause shall continue to apply to the Supplier and remain effective for a period of 5 years after the Supplier by writing informed Regal that it wishes to cease to use the Supplier Portal or cease to have any business relationships with Regal (whichever is later).
• 9. 機密資訊
• 9.1 供應商有責任謹慎處理機密資訊，並且不得將其提供或透露給第三方，惟以下情況除外：

• 9.2本條款將在供應商書面通知富豪其終止使用供應商平台或終止與富豪的任何商業關係的意願 (以較後者為準) 後起計的5年內繼續適用。
• 10. Linked websites
• This Supplier Portal may contain links to other websites including third party license materials. Regal and ORACLE do not have any control over such materials and the Supplier’s any use of such materials is at its own risk. In addition, the existence of a link between the Supplier Portal and other websites does not constitute an endorsement by Regal and/or ORACLE or any relationships between Regal and such third party.
• 10. 鏈接網站
• 10. 此供應商平台可能包含導向其他網站的鏈接，包括第三方授權材料。富豪和甲骨文對該等材料沒有任何控制權。供應商使用該等材料的風險自負。此外，供應商平台與其他網站之間的鏈接並不構成富豪及/或甲骨文對該等網站的內容的認可或富豪與該第三方的任何關係。
• 11. Data Protection
• 11.1 The Supplier authorizes Regal and ORACLE to collect, use, transfer, store or in other ways handle data relating to an identified or identifiable person or legal entity provided by the Supplier (“Personal Data”). All Personal Data collected by Regal and/or ORACLE will be treated in strict confidence and will neither be passed on to third party nor be used for purposes other than those relating to the Purpose and any other purposes as set out herein.
• 11.2 When the Supplier visits the Supplier Portal, Regal and/or ORACLE will only collect general technical information for internal use (e.g. Browser, IP address, time and duration of visit). Regal and/or ORACLE also collect the Supplier’s usage data when logging in or registering (e.g. Email address, user ID, password).
• 11.3 The Supplier may disable cookies at any time using the relevant browser. However, such conduct may impair the functionality of services.
• 11.4 By logging in the Supplier Portal, the Supplier consent to Regal and ORACLE to collecting and storing inventory, login and content data and Personal Data and using such data for the Purpose and to design or improve services as needed and to analyze user behavior.
• 11. 資料保護
• 11.1 供應商授權富豪和甲骨文收集、使用、轉讓、存儲或以其他方式處理由供應商提供之已識別或可識別的個人或法人相關的資料 ("個人資料")。所有由富豪及/或甲骨文收集的個人資料將嚴格保密, 並不會被傳遞給第三方, 也不會用於目的及本使用條款所指定的用途以外的任何其他用途。
• 11.2 當供應商訪問供應商平台時, 富豪及/或甲骨文只收集供內部使用的一般技術資訊 (如瀏覽器、IP 位址、時間和存取時間)。富豪及/或甲骨文也會收集供應商登錄或註冊時的使用資料(如電子郵件地址、使用者 ID、密碼)。
• 11.3 供應商可以在任何時候使用瀏覽器禁用 cookies,不過這樣做可能會損害服務的功能性。
• 11.4 通過登錄供應商平台, 供應商同意富豪和甲骨文收集和存儲庫存、登錄和內容資料及個人資料, 並可為了目的及為了需要設計或改進服務而使用該等資料, 以及分析使用者行為。
• 12. Exclusion of Liability
• 12.1 Regal (including its agents, representatives, or employees) shall not be liable (whether under contract, tort or otherwise) for any kind of losses and/or damages of any Supplier (including but not limited to direct, indirect, incidental, punitive, or consequential damages) relating to the use of or inability to use of this Supplier Portal or of any data contained in the Supplier Portal (howsoever such losses/damages arise or caused, including but not limited to the failure of performance of the Supplier Portal for any reason or the use of the information or materials contained within the Supplier Portal).
• 12.2 Regal does not undertake nor guarantee that any service relating to the Supplier Portal will be fault free or uninterrupted and hereby excludes all conditions, representations or warranties to the extent permitted by applicable law.
• 12.3 Regal and/or ORACLE shall not assume any responsibility for the accuracy, correctness, completeness or quality of the information, documents, indicated prices or any kind of information that are made available. Regal and/or ORACLE assume no responsibility for any errors or omissions in such information to which a reference was made there, or which is linked to it.
• 12.4 Regal shall not be liable for any losses/damages (howsoever arising or caused)relating to any use of erroneous or incomplete information, or any losses/damages arising from loss of use, data loss or loss of revenue incurred by any party.
• 12. 責任排除
• 12.1 富豪 (包括代理人、代表人或員工) 概不承擔（不論是根據合約法、侵權法或任何其他依據）因供應商使用或無法使用供應商平台或供應商平台上的任何資料 相關而引起的任何形式的任何損失及/或損害 (包括但不限於直接的、間接的、附帶的、懲罰性的或後果性的損害的責任) 的責任 (不論該損失及/或損害是如何引起或造成，包括但不限於因任何原因供應商平台未能運作或供應商無法使用供應商平台網站中所含的資料或材料)。
• 12.2富豪不承諾亦不保證任何與供應商平台相關的服務沒有錯誤且不會中斷，,並在適用法律允許的範圍之內排除所有條件、陳述或保證。
• 12.3 富豪及/或甲骨文對資訊、文件、指示價格或其他供應商所提供的資料的準確性、正確性、完整性或質量概不承擔任何責任。如相關資料已被參考或引用，富豪及/或甲骨文概不承擔當中的任何錯誤或遺漏。
• 12.4富豪對由於使用錯誤或不完整的資訊而引起的任何損失或損害 (不論如何引起或造成) 概不承擔任何責任，也對因無法使用供應商平台，數據丟失或收入損失而引起的任何損失或損害不承擔任何責任。
• 13. Indemnification
• 13.1 The Supplier shall be liable and shall compensate Regal for any losses or damages caused by the Supplier, its subsidiaries, affiliates, agents, employees, directors, officers, contractors, subcontractors or engaged parties as a result of:
• (a) the Supplier’s breach of these Terms or ORACLE Terms;
• (b) any third party claims against Regal or ORACLE arising out of or in connection with the use of the Supplier Portal; or
• (c) any kind of damages (including but not limited to damages caused to the responses or functions of the Supplier Portal) caused by the Supplier, its subsidiaries, affiliates, agents, employees, directors, officers, contractors, subcontractors to the system of the Supplier Portal.
• 13.2 The Supplier agrees to indemnify, defend, and hold harmless Regal and/or ORACLE, and its/their parent company(ies), subsidiaries, affiliates, agents, directors, officers, employees, contractors and subcontractors with respect to any claim, demand, cause of action, debt or liability (including reasonable attorney’s fees) brought by any third party relating to the use of the Supplier Portal and/or the information/data therein (including but not limited to any claims relating to breach of the Terms and/or the ORACLE Terms, the creation or distribution of Prohibited Contents, any intellectual property claims).
• 13. 賠償
• 13.1供應商應對由供應商、其子公司、關聯公司、代理人、僱員、董事、管理人員、承包商、分包商和參與方因下列原因造成對供應商平台的任何損失或損害承擔責任並賠償富豪：
• (a) 供應商違反本使用條款或甲骨文條款;
• (b) 任何第三方向富豪或甲骨文因使用供應商平台而衍生或與使用供應商平台有關的索償; 或
• (c) 由供應商、其子公司、關聯公司、代理人、僱員、董事、管理人員、承包商或分包商對供應商平台之系統造成任何類型的損害 (包括但不限於對供應商平台的反應或功能造成的損害)。
• 13.2 供應商同意對由任何第三方向富豪及/或甲骨文提出、與使用供應商平台及/或當中的資料或資訊相關 (包括但不限於任何與違反本使用條款及/或甲骨文條款、制作或發佈受禁止內容、任何知識產權的申索) 的任何索償、要求、訴訟因由、債務或法律責任 (包括合理的律師費)、向富豪及/或甲骨文及其母公司、子公司、關聯公司、代理人、董事、管理人員、僱員、承包商及分包商作出彌償、辯護，及使其免受損害。
• 14. Miscellaneous
• 14.1 Regal is authorized to amend these Terms and the Purpose at any time without advance notice to the Supplier. Any amendment will become into effective upon issuance and Regal will upload the latest Terms on the Supplier Portal. The Supplier’s continual use of the Supplier Portal shall constitute its agreement to such amendments. If there is any contradiction between the amendments and these Terms, these Terms shall prevail.
• 14.2 These Terms are governed and construed in all respects by the laws of the HKSAR. The Supplier also agrees to submit to the non-exclusive jurisdiction of the courts of HKSAR for any dispute.
• 14.3 If any provision of these Terms is considered invalid or unenforceable by any relevant law, it does not affect the validity or enforceability of all other remaining provisions.
• 14.4 These Terms and the rights and obligations created thereunder are intended for the sole benefit of the Parties to this Terms and do not create any right, claim or benefit on the part of any other person.
• 14.5 In case of any discrepancy between the English and Chinese versions of these Terms, the English version shall prevail.
• 14. 雜項
• 14.1 富豪有權在不事先通知供應商的情況下隨時更改本使用條款及目的。任何修訂一經發出便會生效，而富豪會將最新版本的使用條款上載至供應商平台。供應商持續使用供應商平台即代表供應商同意遵守該些修訂。如果修訂與本使用條款有任何矛盾, 則應以本使用條款為準。
• 14.2 本使用條款受香港特別行政區法律規管並按其解釋。如有任何爭議，供應商亦同意接受香港特別行政區法院之非專屬管轄權所管轄。
• 14.3 本使用條款的任何條文若在任何有關法律下被視作無效或不能強制執行，所有其他條文的有效性或強制執行性將不受影響。
• 14.4 本使用條款以及其項下的權利及義務僅本合約雙方所能受惠，並不賦予其他人士任何權利、申索權或利益。
• 14.5 本使用條款的英文版與中文版如有任何歧義，概以英文版為準。
